Terms of Service

Effective Date: April 9, 2026  |  Last Updated: April 9, 2026

1. Acceptance of Terms

Welcome to Dion's Pizzas ("Dion's," "we," "us," or "our"). These Terms of Service ("Terms," "Agreement") constitute a legally binding contract between you ("User," "Customer," or "you") and Dion's Pizzas, governing your access to and use of the website located at dionspizzas.digital (the "Website"), including all content, functionality, services, and features offered through our platform.

By visiting, browsing, accessing, registering an account on, or placing an order through our Website, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, along with our Privacy Policy, which is incorporated herein by reference. If you are using our Website on behalf of a business entity, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.

You must be at least eighteen (18) years of age to use this Website or place an order. By using our services, you represent and warrant that you meet this minimum age requirement. We reserve the right to refuse service to anyone for any reason at any time, in compliance with applicable federal and state law.

Your continued use of the Website after the posting of any changes to these Terms constitutes your acceptance of those revised Terms. We encourage you to review these Terms periodically to stay informed of any updates.

2. Description of Services

Dion's Pizzas operates as a food service business providing customers with the ability to browse our menu, place online orders for pickup or delivery, create and manage customer accounts, access promotional offers, and communicate with our team — all through our digital platform at dionspizzas.digital.

Our services include but are not limited to:

  • Online Ordering: Customers may place orders for food and beverages directly through our Website for pickup at a designated location or delivery to an eligible address.
  • Menu Browsing: Users may view our current menu offerings, including descriptions, images, pricing, ingredients, and allergen information.
  • Account Management: Registered users may create a personal account to save order history, manage preferences, store delivery addresses, and receive personalized offers.
  • Promotional Communications: With your consent, we may send you promotional emails, SMS messages, or push notifications regarding special offers, discounts, new menu items, and events.
  • Customer Support: Users may contact our team via email at [email protected] for assistance with orders, complaints, feedback, or general inquiries.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of services.

Availability of menu items is subject to change without notice. We do not guarantee that any specific item will be available at any given time. In the event that an ordered item is unavailable, we will make reasonable efforts to notify you promptly and offer an alternative or refund where applicable.

Delivery availability, timing, and radius may vary depending on your geographic location, order volume, weather conditions, and other factors. We do not warrant that delivery services will be available in all areas or at all times.

3. User Accounts and Registration

To access certain features of our Website, including placing orders, saving preferences, and accessing your order history, you may be required to create a user account. When registering for an account, you agree to provide accurate, current, and complete information and to keep your account information updated at all times.

You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password. You agree to notify us immediately at [email protected] if you suspect any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

You may not transfer, sell, or assign your account to any other person or entity without our prior written consent. Each user may maintain only one active account at a time. Creating multiple accounts for fraudulent purposes, to circumvent restrictions, or to abuse promotional offers is strictly prohibited.

4. User Obligations and Prohibited Activities

By using our Website and services, you agree to comply with all applicable federal, state, and local laws, including but not limited to the Federal Trade Commission Act (FTC Act), the Computer Fraud and Abuse Act, and all applicable food safety regulations. You further agree to use our Website only for lawful purposes and in a manner consistent with these Terms.

4.1 User Obligations

As a user of our Website, you agree to:

  • Provide accurate, truthful, and complete information when creating an account or placing an order.
  • Pay all charges associated with your orders, including applicable taxes and delivery fees.
  • Respect the rights of other users and our staff.
  • Comply with all applicable laws and regulations in your use of our services.
  • Maintain the security and confidentiality of your account credentials.
  • Notify us promptly of any billing errors or unauthorized transactions.

4.2 Prohibited Activities

You expressly agree that you will NOT engage in any of the following prohibited activities:

  • Fraudulent Orders: Placing orders with no intention of completing payment, using stolen or unauthorized payment methods, or submitting false chargebacks.
  • Scraping and Data Mining: Using automated tools, bots, spiders, scrapers, or other data collection methods to extract content from our Website without our express written consent.
  • System Interference: Attempting to interfere with, disrupt, or gain unauthorized access to our servers, networks, databases, or security systems.
  • Impersonation: Impersonating any person or entity, misrepresenting your affiliation with any person or entity, or falsely claiming to represent Dion's Pizzas.
  • Harassment: Harassing, threatening, intimidating, or abusing our employees, staff, delivery personnel, or other users through any channel including our Website, email, or social media.
  • Malicious Code: Uploading, transmitting, or distributing any viruses, malware, ransomware, or other malicious code that may harm our systems or the systems of other users.
  • Circumventing Restrictions: Using technical or non-technical means to bypass, circumvent, or override any security measures, access controls, or usage restrictions on our Website.
  • Unauthorized Commercial Use: Using our Website or content for any commercial purpose, including reselling or redistributing our products or services, without our prior written consent.
  • Abuse of Promotions: Exploiting promotional offers, discount codes, or loyalty programs through fraudulent means, including creating multiple accounts to claim one-time offers.
  • Defamatory Content: Posting or transmitting any content that is false, defamatory, libelous, obscene, or otherwise objectionable.
  • Violation of Laws: Using our services in a manner that violates any applicable local, state, federal, or international law or regulation.

We reserve the right to investigate any suspected violations of these Terms and to take appropriate legal action, including but not limited to reporting violations to law enforcement authorities, suspending or terminating accounts, and pursuing civil remedies.

5. Ordering, Pricing, and Payment Terms

All prices displayed on our Website are in United States Dollars (USD) and are subject to change without prior notice. Prices shown do not include applicable sales taxes, service fees, or delivery charges unless explicitly stated at checkout.

5.1 Order Placement and Confirmation

When you place an order through our Website, you are making an offer to purchase the selected items at the stated price. An order is not confirmed until you receive an order confirmation email or notification. We reserve the right to cancel or reject any order at our sole discretion, including in cases of pricing errors, item unavailability, or suspected fraudulent activity. In the event of a cancellation, you will be notified and any payment collected will be promptly refunded.

5.2 Payment Methods

We accept major credit and debit cards, and such other payment methods as may be made available on our Website from time to time. By providing your payment information, you represent and warrant that you are authorized to use the selected payment method and that the payment information you provide is accurate and complete.

5.3 Taxes and Fees

All applicable sales taxes will be calculated and added to your order total at checkout in accordance with state and local tax laws. Delivery fees, where applicable, will be disclosed before you complete your purchase.

5.4 Refunds and Cancellations

Due to the perishable nature of food products, all sales are generally final once an order has been prepared. However, if you experience a problem with your order — such as incorrect items, poor quality, or a missing item — please contact us at [email protected] within twenty-four (24) hours of receiving your order. We will review your concern and, at our discretion, offer a replacement, credit, or refund where warranted. Refunds, if approved, will be processed to your original payment method within five to ten (5–10) business days.

6. Intellectual Property Rights

All content, materials, and features available on or through our Website — including but not limited to text, graphics, logos, photographs, images, audio clips, digital downloads, data compilations, software, and the overall design and layout of the Website — are the exclusive property of Dion's Pizzas or its content licensors and are protected by United States and international intellectual property laws, including copyright, trademark, trade secret, and patent laws.

The Dion's Pizzas name, logo, and all related names, logos, product names, slogans, and designs are trademarks of Dion's Pizzas. You may not use these marks without our prior written permission. All other trademarks not owned by Dion's Pizzas that appear on this Website are the property of their respective owners.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Website solely for personal, non-commercial purposes. This license does not include the right to:

  • Reproduce, modify, distribute, or create derivative works of any Website content without our express written consent.
  • Use data mining, robots, or similar data gathering tools on any portion of the Website.
  • Download, copy, or store Website content for commercial purposes.
  • Frame, mirror, or link to any portion of the Website without our prior written authorization.

Any unauthorized use of our intellectual property may constitute a violation of copyright law, trademark law, and other applicable federal and state statutes, and may subject the violator to civil and criminal penalties.

If you believe that your intellectual property rights have been infringed by content on our Website, please contact us at [email protected] with sufficient detail to allow us to investigate your claim.

7. Third-Party Links and Services

Our Website may contain links to third-party websites, platforms, or services that are not owned or controlled by Dion's Pizzas. These links are provided for your convenience only. We have no control over, and assume no responsibility for, the content, privacy policies, practices, or terms of any third-party websites or services. We do not endorse or make any representations about third-party websites or any information, products, or services found on them.

We strongly encourage you to review the terms of service and privacy policies of any third-party websites you visit. Your interactions with third-party services are governed by those parties' terms and policies, not ours. We shall have no liability whatsoever for any loss or damage arising from your use of any third-party website or service.

8. Disclaimers and "As-Is" Basis

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR WEBSITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. DION'S PIZZAS EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

  • Our Website will be uninterrupted, error-free, secure, or free from viruses or other harmful components.
  • The results obtained from using our Website or services will be accurate or reliable.
  • Any errors or defects in our Website will be corrected.
  • Our Website or the servers that make it available are free of viruses or other harmful code.

Menu item descriptions, images, and nutritional information provided on our Website are for general informational purposes only. Actual products may vary. We make no warranty regarding the accuracy or completeness of menu information, allergen disclosures, or nutritional data. Customers with food allergies or dietary restrictions are strongly advised to contact us directly at [email protected] before placing an order.

Nothing in these Terms shall affect any non-waivable statutory rights that apply to you under applicable federal or state consumer protection law, including rights available under the Federal Trade Commission Act.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DION'S PIZZAS, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, OR SYSTEM FAILURE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, OUR WEBSITE OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF OUR SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO DION'S PIZZAS IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

THE LIMITATIONS OF LIABILITY SET FORTH HEREIN ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN YOU AND DION'S PIZZAS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN THEIR ENTIRETY.

10. Indemnification

You agree to defend, indemnify, and hold harmless Dion's Pizzas, its owners, officers, directors, employees, agents, contractors, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms of Service.
  • Your use of our Website or services, including any orders placed through the platform.
  • Your violation of any applicable law, regulation, or third-party right, including intellectual property rights or privacy rights.
  • Any content you submit, post, or transmit through our Website.
  • Any fraudulent, negligent, or wrongful conduct on your part.

We reserve the right, at our own expense, to assume exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully with us in asserting any available defenses.

11. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the United States and the laws of the applicable state in which Dion's Pizzas operates, without regard to conflict of law principles. You agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of our Website shall be subject to the exclusive jurisdiction of the federal and state courts located in the United States.

For consumers located in California, these Terms shall also be governed by the California Consumer Privacy Act (CCPA), as amended by the California Privacy Rights Act (CPRA), and other applicable California state laws. Nothing in these Terms is intended to limit any rights you may have under applicable state consumer protection statutes.

By using our services, you consent to the personal jurisdiction of and venue in such courts and waive any objection to such jurisdiction or venue.

12. Dispute Resolution

12.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us informally and attempt to resolve the dispute amicably. You may contact us at [email protected] with a written description of your dispute, the relief you seek, and your contact information. We will make reasonable efforts to respond within thirty (30) days and to resolve your concern without the need for formal proceedings.

12.2 Binding Arbitration

If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms or your use of our services — including questions of arbitrability — shall be resolved by binding arbitration on an individual basis. The arbitration shall be conducted under the rules of the American Arbitration Association (AAA) or such other nationally recognized arbitration organization as we may designate, and shall take place in a mutually agreed location or via remote proceedings.

The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. The arbitration shall be conducted in the English language.

12.3 Class Action Waiver

12.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights or other proprietary rights. Claims arising under consumer protection laws in certain states may also be exempt from mandatory arbitration as required by applicable law.

13. Term and Termination

These Terms of Service shall remain in full force and effect for as long as you access or use our Website or services. We reserve the right, in our sole discretion and without prior notice, to suspend or terminate your access to our Website or your account for any reason, including but not limited to:

  • Violation of any provision of these Terms.
  • Conduct that we determine, in our sole judgment, to be harmful to other users, third parties, or our business interests.
  • Fraudulent, abusive, or otherwise improper use of our services.
  • Failure to pay amounts owed for orders or services.
  • Request by law enforcement or government authorities.

Upon termination, your right to use the Website and services will immediately cease. You may also terminate your account at any time by contacting us at [email protected] and requesting account deletion. Following termination, we may retain certain information as required by law or as necessary for legitimate business purposes, in accordance with our Privacy Policy.

Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to: intellectual property rights, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law.

14. Changes to Terms

We reserve the right to modify, amend, or update these Terms of Service at any time at our sole discretion. When we make material changes to these Terms, we will update the "Last Updated" date at the top of this page and, where feasible, provide additional notice through our Website or via email to registered users.

It is your responsibility to review these Terms periodically. Your continued use of our Website or services following the posting of any revised Terms constitutes your acceptance of such changes. If you do not agree to the revised Terms, you must immediately discontinue your use of our Website and services.

We will not apply changes retroactively to disputes that arose before the date of any modification. However, all future disputes shall be governed by the most current version of these Terms.

15. Severability

If any provision of these Terms of Service is found to be invalid, illegal, void, or unenforceable under applicable law by a court of competent jurisdiction or arbitrator, that provision shall be deemed modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions of these Terms shall continue in full force and effect and shall be binding upon the parties.

The invalidity or unenforceability of any single provision shall not affect the validity or enforceability of any other provision contained herein. These Terms constitute the entire agreement between you and Dion's Pizzas with respect to your use of our Website and services and supersede all prior and contemporaneous agreements, representations, warranties, and understandings with respect to such subject matter.

16. Entire Agreement and Waiver

These Terms of Service, together with our Privacy Policy and any other policies or agreements incorporated by reference herein, constitute the entire agreement between you and Dion's Pizzas concerning your use of our Website and services. They supersede all prior and contemporaneous communications, proposals, and understandings, whether oral or written, between you and Dion's Pizzas.

No waiver by Dion's Pizzas of any term or condition in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

17. Force Majeure

Dion's Pizzas shall not be liable for any failure or delay in performance of its obligations under these Terms to the extent that such failure or delay is caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government-imposed restrictions, civil unrest, terrorism, war, power outages, internet disruptions, labor disputes, or supply chain disruptions. In such circumstances, our obligations will be suspended for the duration of the force majeure event, and we will make reasonable efforts to resume normal operations as soon as practicable.

18. Electronic Communications

By using our Website and services, you consent to receive communications from us electronically. We may communicate with you via email, through notices posted on our Website, or through other electronic channels. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
